Question:
The offer presented in relation to the expression of interest may be binding
to the acceptance of the mortgage by a credit institution?
There is no reference to this in the document
Answer:
No. Pursuant to the provisions of art. 7.1 of the Letter of Invitation, offers are not permitted
conditioned.
Naturally, the Offeror’s right to request a loan remains unaffected, it being understood that, in
case in which the Offeror has signed the Preliminary Contract, according to the terms and methods
indicated in the art. 8 of the Invitation Letter, and the Final Sales Contract should not be
stipulated, for any fact attributable to the Offeror itself, by the deadline of 30 September
2022 (unless otherwise agreed in writing between the parties), the confirmation deposit will be retained
paid at the time of the preliminary contract as a penalty for failure to sign the contract
definitive, pursuant to the provisions of art. 10 of the Invitation Letter.
Question:
In the event that you wish to involve a company in signing the final sales contract
Is it necessary to indicate this already in the binding offer?
Answer:
No. Pursuant to art. 10 of the Letter of Invitation, “the Offeror, without prejudice to its commitment to purchase in
own, may request to reserve the right to designate in the definitive contract: a)
leasing company that concludes a financial leasing contract with the Offeror which
user”.
Therefore, the burden of indicating the name of the interested party already in the binding Offer
to reserve the right to designate in the final contract exists only if the latter is
included among those specifically identified in letter b).
Question:
By filling in attachment A3 – Lot 5 A Preliminary Contract Form – to be inserted in envelope B,
cited on page 11/11 an attachment to the cadastral plan which I cannot find (Annex A).
Could you kindly clarify for me which “plan” I should include in the envelope as an attached document?
Perhaps you mean the “property description dossier” package?
Maybe the cadastral survey?
Answer:
It should be noted that, pursuant to art. 5 – Envelope B of the Invitation Letter, it is necessary to insert “the text of
preliminary contract template concerning the Lot being offered and related appendices […], filled in in the heading with the name and/or denomination of the Bidder,
initialed on each page of the contract and appendices, signed at the bottom with double signature
and integrated with the price offered (all in duplicate).”
In this regard, it is specified that Annex A, cited in the preliminary contract outline and indicated
to the art. 18 (cadastral plan), will be attached subsequently and upon signing
joint of the preliminary contract itself, in the case of award of the Lots or the Lot.
Therefore, the correspondence of Annex A – cadastral plan – with what is reported is maintained
in the “Property description dossier”, it is not necessary to include the floor plan among the attachments
to the binding offer, pursuant to art. 5 – Envelope B of the Invitation Letter.
